Con riferimento all’offerta pubblica di acquisto volontaria, ai sensi dell’art. 102, comma 1, del decreto legislativo 24 febbraio 1998 n. 58 (l’“Offerta”) promossa da DOCOMO Deutschland GmbH (l’“Offerente”) sulla totalità delle azioni ordinarie di Buongiorno S.p.A. (le “Azioni”), si precisa che l’Offerta è promossa esclusivamente in Italia essendo le Azioni quotate unicamente sul mercato MTA.

L’Offerta è rivolta a parità di condizioni a tutti i titolari delle Azioni e non è stata e non sarà promossa nei paesi diversi dall’Italia nei quali l’Offerta non sia consentita in assenza di autorizzazione da parte delle competenti autorità (gli “Altri Paesi”), né utilizzando i servizi postali né alcun altro strumento di comunicazione o commercio internazionale (ivi inclusi, a titolo esemplificativo, la rete postale, il fax, il telex, la posta elettronica, il telefono ed Internet) degli Altri Paesi, né qualsivoglia struttura di alcuno degli intermediari finanziari degli Altri Paesi, né attraverso alcuno dei mercati regolamentati nazionali degli Altri Paesi, né in alcun altro modo. Ne consegue che copie del Documento di Offerta, così come copie degli altri documenti presenti in questa sezione del sito, non sono state e non dovranno essere inviate, o in qualsiasi modo trasmesse, o comunque distribuite negli o dagli Altri Paesi.

Chiunque riceva il Documento di Offerta o gli altri documenti presenti in questa sezione del sito (ivi inclusi in via esemplificativa e non limitativa, depositari, fiduciari e trustees) non potrà distribuirli, inviarli (anche a mezzo posta) negli o dagli Altri Paesi, né utilizzare i servizi postali e gli altri mezzi di simile natura degli Altri Paesi in relazione all’Offerta.

Chiunque si trovi in possesso dei suddetti documenti si deve astenere dal distribuirli, inviarli o spedirli negli o dagli Altri Paesi, e si deve altresì astenere dall’utilizzare strumenti di comunicazione o commercio internazionale degli Altri Paesi per qualsiasi fine collegato all’Offerta.

Il Documento di Offerta e gli altri documenti presenti in questa sezione del sito non potranno essere interpretati quale offerta rivolta a soggetti residenti negli Altri Paesi.

L’adesione all’Offerta da parte di soggetti residenti negli Altri Paesi può essere soggetta a specifici obblighi e restrizioni di natura legale e regolamentare. È esclusiva responsabilità dei destinatari dell’Offerta conformarsi a tali norme e pertanto, prima dell’adesione, verificarne l’esistenza e l’applicabilità, rivolgendosi a propri consulenti.

Chiunque intenda prendere visione del Documento di Offerta e degli altri documenti presenti in questa sezione del sito deve leggere attentamente ed avere piena consapevolezza di quanto sopra riportato. With reference to the voluntary tender offer, pursuant to Article 102, paragraph 1, of legislative decree 24 February 1998 no. 58 (the “Offer”) launched by DOCOMO Deutschland GmbH (the “Offeror”) on all the ordinary shares of Buongiorno S.p.A. (the “Shares”), it is highlighted that the Offer is being made solely in Italy since the Shares are listed only on the MTA.

The Offer is being made on the same conditions to all the owners of the Shares, but is not and will be not made in other countries different from Italy in which the Offer is not allowed failing the authorization by the competent authorities (the “Other Countries”), neither by post nor through any other instruments of communication or international business (including, as a mere example, by postal services, fax, telex, e-mail, telephone and Internet) of the Other Countries, nor by any other instrument of any of the financial intermediaries of the Other Countries, nor through any of the national regulated markets of the Other Countries, nor in any other way. It follows that copies of the Offer Document, as well as copies of any other documents contained in this section of the website, were not and shall not be sent, or in any way delivered, or in any case distributed in or from the Other Countries.

Anyone who has received the Offer Document, or any other document contained in this section of the website (including, by way of mere example, custodians, fiduciaries and trustees) shall not distribute it, send it (also by post) to or from the Other Countries, nor use postal services and other similar instruments of the Other Countries in relation to the Offer.

Anyone who comes to have such documents must abstain from distributing, sending or delivering them to or from the Other Countries, and he must abstain from utilising instruments of communication or international business of the Other Countries for any purposes connected to the Offer.
